The Berkeley Lab is seeking a skilled Agreements Associate to join our cutting-edge team. This position will craft and navigate the intricate landscape of Non-disclosure Agreements (NDAs), Material Transfer Agreements (MTAs), and more. This role will ensure that every agreement aligns seamlessly with the standards set by the Regents of the University of California and the Department of Energy. What You Will Do:

  • Independently draft, negotiate, and execute a variety of agreements-including Non-disclosure Agreements, Material Transfer Agreements, and bailments-to facilitate technology transfer activities at Berkeley Lab.
  • Ensure agreement terms and language adhere to constantly evolving University of California and Department of Energy requirements.
  • Monitor compliance of intellectual property agreements and maintain database records.
  • May represent Berkeley Lab on University of California and / or DOE Technology Transfer working groups.
  • Interact diplomatically with both internal and external stakeholders worldwide.
  • Provide agreement-related training and guidance to Berkeley Lab staff and undertake additional assignments as required by management.

What is Required:

  • A bachelor's degree or equivalent combination of education and experience.
  • A minimum of 2 years of relevant licensing/legal experience.
  • Track record of handling agreements of moderate complexity, demonstrating the ability to analyze diverse factors to inform decision-making.
  • Proficient in drafting and negotiating Material Transfer Agreements and Non-disclosure Agreements, with attention to detail to ensure alignment with Berkeley Lab's standards.
  • Skilled in crafting alternative contract provisions and adept at navigating negotiations effectively.
  • Exceptional organizational prowess, managing caseloads efficiently under demanding internal and external deadlines.
  • Strong interpersonal acumen, collaborating diplomatically with diverse stakeholders including administrative support staff, scientists, engineers, and senior management.
  • Capable of securing buy-in from key stakeholders to achieve predetermined objectives.
  • Proven experience managing caseload databases accurately and efficiently, and high proficiency with word-processing and spreadsheet programs.
  • A demonstrated team player committed to collective success.

Desired Qualifications:

  • Juris Doctor (J.D.) or Master of Business Administration (M.B.A.) degree OR equivalent expertise in drafting and negotiating legal contracts.

Notes:

  • This is a full-time career appointment, exempt (monthly paid) from overtime pay.
  • This position is expected to pay $95,000 to $110,000, which fits within the full salary range of $93,120 to $157,176 for the Licensing Associate job classification. It is not typical for an individual to be offered a salary at or near the top of the range for a position. Salary for this position will be commensurate with the final candidate's qualifications and experience (including skills, knowledge, relevant education, certifications), as well as aligned with the internal leadership peer group.
  • This position may be subject to a background check. Any convictions will be evaluated to determine if they directly relate to the responsibilities and requirements of the position. Having a conviction history will not automatically disqualify an applicant from being considered for employment.
  • This position will involve access to hardware, commodities, and technical information subject to export control regulations including, but not limited to, the Export Administration Regulations ("EAR") and/or International Traffic in Arms Regulations ("ITAR"). Accordingly, any hiring decision may depend in part on Berkeley Lab's ability to obtain or rely on federal government authorizations as required, if you are not a U.S. citizen, lawful permanent resident of the U.S. ("green card holder"), asylee, refugee, or other qualifying protected individual as defined by 8 U.S.C. 1324b(a)(3).
  • This position is subject to the financial disclosure requirements of the California Political Reform Act of 1974. The successful candidate for this position will be required to file financial interest statements upon assuming this position, annually while holding this position, and when leaving this position.
  • This position is eligible for a hybrid work schedule - a combination of teleworking and performing work on site a minimum of 1 day per week at Lawrence Berkeley National Lab, 1 Cyclotron Road, Berkeley, CA. Work schedules are dependent on business needs.
